These Terms of Service ("Terms") govern your access to and use of NextiveAI (the "Service"), a product operated by PT Nextive Harapan Gemilang ("NextiveAI", "we", "us", or "our"), available at https://app.nextiveai.com.
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
NextiveAI is a customer-communication and CRM platform that lets businesses manage conversations across messaging channels — including WhatsApp, Instagram, and Facebook Messenger — with features such as a shared team inbox, contact management, broadcast messaging, automated and AI-assisted replies, and reporting.
2. Accounts and eligibility
• You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract.
• You are responsible for the accuracy of your account information and for keeping your credentials secure.
• You are responsible for all activity that occurs under your account and for your team members' use of the Service.
3. Connecting messaging accounts
To use messaging features, you connect your own WhatsApp, Instagram, or Facebook Messenger / Page accounts via Meta's authorized login. You represent that:
• You own or are authorized to manage the accounts you connect.
• Your use of those accounts through NextiveAI complies with the applicable Meta/Facebook/Instagram/WhatsApp Terms, Platform Terms, and Policies.
• You will obtain any consent required from your contacts/end users for the messages you send.
You can disconnect a connected account at any time from the dashboard.
4. Acceptable use
You agree not to use the Service to:
• Send spam, unsolicited bulk messages, or any messages that violate the policies of the messaging platforms you connect.
• Send unlawful, fraudulent, deceptive, harassing, hateful, or infringing content.
• Violate the privacy or rights of others, or process personal data without a lawful basis.
• Attempt to gain unauthorized access to, disrupt, reverse engineer, or interfere with the Service or its infrastructure.
• Resell or provide the Service to third parties except as expressly permitted by your plan or license.
We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure for us or the messaging platforms.
5. Plans, billing, and licenses
• The Service is offered as a subscription (SaaS) and/or under a source-code license, depending on your plan.
• Fees, billing cycles, and limits are described at purchase. Paid features require an active subscription or valid license.
• Unless stated otherwise, fees are non-refundable except as required by law.
• For self-hosted (source-code) deployments, you are responsible for operating, securing, and complying with applicable laws for your own deployment and connected accounts.
6. Your content and data
• You retain ownership of the content, contacts, and messages you process through the Service.
• You grant us a limited license to host, process, and transmit your content solely to provide the Service.
• Our handling of personal data is described in our Privacy Policy.
7. Intellectual property
The NextiveAI software, branding, and all related intellectual property are owned by PT Nextive Harapan Gemilang and its licensors. Except for rights expressly granted to you, no rights are transferred. You may not copy, modify, distribute, or create derivative works of the Service except as permitted by your license.
8. Third-party services
The Service integrates with third-party platforms (e.g., Meta/WhatsApp/Instagram/Messenger, payment gateways, AI providers). Your use of those platforms is subject to their own terms and policies. We are not responsible for third-party services and do not guarantee their availability.
9. Service availability and changes
We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. Messaging platform changes (e.g., Meta API changes) may affect functionality outside our control.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTIVEAI AND PT NEXTIVE HARAPAN GEMILANG WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless NextiveAI and PT Nextive Harapan Gemilang from claims arising out of your content, your use of the Service, your connected accounts, or your violation of these Terms or applicable laws/platform policies.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access for violations of these Terms or where required by law or platform policy. Upon termination, your right to use the Service ends; certain provisions (e.g., ownership, disclaimers, liability limits) survive.
14. Governing law
These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict-of-laws principles. Disputes will be subject to the competent courts of Indonesia, unless otherwise required by applicable law.
15. Changes and contact
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use after changes constitutes acceptance.
